Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AccelMars Ops (“the Service”), operated by AccelMars Co., Ltd. (“AccelMars,” “we,” “us,” or “our”) at ops.accelmars.com.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1. Description of Service

AccelMars Ops is a decision compression system for founders running companies with AI. The Service provides:

What the Service is NOT

The Service is not a project management tool, accounting system, CRM, code editor, or deployment platform. The Service provides operational visibility and recommendations — it does not execute business decisions on your behalf.


2. Account Registration

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding legal agreement to use the Service.

2.2 Account Creation

You may create an account using GitHub OAuth or email with a one-time password (OTP). You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as needed.

2.4 One Account Per Person

Each individual may maintain one account. You may not create multiple accounts to circumvent usage limits or other restrictions.


3. Organizations and Multi-Tenancy

3.1 Organizations

The Service is organized around “organizations.” When you create an organization, you become its owner. You may invite other users to your organization (subject to your plan tier).

3.2 Data Isolation

Each organization's data is logically isolated. You can only access data belonging to organizations where you hold an active membership. We enforce this isolation at the database level using row-level security policies.

3.3 Organization Deletion

If you delete your organization, all associated data — including roles, scripts, script runs, reports, tracked repositories, git activity snapshots, schedules, phase tracking, and dashboard settings — will be permanently and irreversibly deleted.


4. Plans and Billing

4.1 Plan Tiers

All 10 roles are available on every tier, including Free.

4.2 Billing

Pro and Enterprise subscriptions are billed monthly. Payment is processed through our third-party payment provider. By subscribing, you authorize recurring charges to your payment method.

4.3 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the end of the current billing cycle.

4.4 Grace Period

If a payment fails, your account will enter a 7-day grace period during which full functionality is preserved. If payment is not resolved within 7 days, your account will revert to the Free tier. No data is deleted during downgrade — your data remains intact, but usage limits apply.

4.5 Refunds

Refund requests are reviewed on a case-by-case basis. Contact us at hello@accelmars.com within 14 days of a charge to request a refund.

6. GitHub Integration

6.1 OAuth Authorization

The Service integrates with GitHub via OAuth. When you connect your GitHub account, you authorize us to access certain information through GitHub's API, including repository names, descriptions, metadata, commit counts, commit messages, commit authors, timestamps, and organization membership.

6.2 Permissions and Usage

The GitHub OAuth flow requests repo and read:org scopes. The repo scope grants broad repository access as required by GitHub's OAuth model. However, the Service only performs read operations — specifically, listing your repositories and reading commit history. We do not push code, create branches, modify issues, or make any changes to your repositories.

6.3 Token Storage

Your GitHub OAuth access token and refresh token are stored securely in our database, encrypted at rest. You may revoke access at any time by disconnecting your GitHub account from the Service or revoking the OAuth app from your GitHub settings.

6.4 Scope of Access

We only access repository metadata necessary to provide git activity tracking and operational insights. We do not read, store, or analyze your source code.


7. AI-Generated Content and Recommendations

7.1 Nature of Insights

The Service generates operational insights, reports, and recommendations using automated scripts with domain-specific logic. Some features may incorporate AI-assisted analysis.

7.2 Not Professional Advice

Insights and recommendations provided by the Service are informational only. They do not constitute financial, legal, tax, accounting, or other professional advice. You are solely responsible for any business decisions you make.

7.3 No Autonomous Execution

The Service does not and will not autonomously execute high-risk business decisions, including but not limited to: pricing changes, refund issuance, payroll modifications, contract signing, or advertising spend changes. The Service may recommend actions in these areas, but execution requires your explicit action outside of the Service.

7.4 Accuracy

While we strive for accuracy, we do not guarantee that all insights, calculations, or recommendations are error-free. You should verify critical information through independent sources before acting on it.


8. Intellectual Property

8.1 Our IP

The Service, including its design, code, architecture, documentation, and branding, is owned by AccelMars Co., Ltd. and protected by intellectual property laws.

8.2 Your Data

You retain full ownership of all data you provide to or generate through the Service, including your organizational data, reports, and configurations. We do not claim any ownership of your data.

8.3 License to Operate

By using the Service, you grant us a limited, non-exclusive license to process, store, and display your data solely for the purpose of providing the Service to you.


9. Third-Party Services

The Service relies on third-party infrastructure providers including Supabase (database hosting, authentication), Vercel (application hosting), GitHub (source code repository API), and our payment processor. Your use of the Service is also subject to the terms and privacy policies of these providers.


10. Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCELMARS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.


11. Indemnification

You agree to indemnify and hold harmless AccelMars from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service, violation of these Terms, violation of any third-party rights, or any data you provide to the Service.


12. Termination

You may terminate your account at any time by deleting your organization(s) and account through the Service's settings. We may suspend or terminate your access if you violate these Terms. Sections 8, 10, 11, and 13 survive termination.


13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States. Any dispute shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within thirty (30) days, the dispute shall be resolved by binding arbitration. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.


14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you at least 30 days before the changes take effect. Your continued use constitutes acceptance of the updated Terms.
